PROPRIETARY SOFTWARE LICENSE AGREEMENT

Important Notice

IMPORTANT-READ CAREFULLY: This Proprietary Software License Agreement ("Agreement") is a legal agreement between You (either an individual or a single entity) and Samrat Subedi ("Licensor") for the software product identified above.

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. COPYRIGHT AND OWNERSHIP

The Software is protected by copyright laws and international copyright treaties. The Software is licensed, not sold. All rights, title, and interest in and to the Software are owned by the Licensor.

2. GRANT OF LICENSE

NO LICENSE IS GRANTED TO USE THIS SOFTWARE WITHOUT THE EXPRESS WRITTEN ENACTMENT OF A SEPARATE COMMERCIAL OR USAGE AGREEMENT WITH THE LICENSOR.

Requires separate written license for copying, modification, or distribution.

3. RESTRICTIONS

You may not rent, lease, lend, or sub-license the Software. You may not reproduce, distribute, publicly display, or publicly perform the Software.

6. GOVERNING LAW

This Agreement is governed by the laws of Nepal.

4. NO WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.

5. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE.
